These Terms of Service govern your access to and use of the Local SEO Express website at localseoexpress.com, our software application at app.localseoexpress.com, and related products and support offered by Local SEO Express. By using our website or software, creating an account or purchasing a subscription, you agree to these terms.

If you do not agree, do not use the website or software.

About Local SEO Express

Local SEO Express is a United States–based software product for freelancers, SEO consultants and agencies. The software may include a Google Maps GeoGrid Rank Checker, unlimited map ranking scans (subject to fair use and plan limits we publish), competitor comparisons, review momentum insights, growth-plan tools, client and prospect reports, review-request materials and related local visibility features.

Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the software. You agree to provide accurate account information and to keep your login credentials secure. You are responsible for activity that occurs under your account.

If you use Local SEO Express on behalf of a business or client, you represent that you have authority to accept these terms for that entity and to enter the business data you submit.

Website and Software Use

You may use our website and software for lawful business purposes only. You agree not to:

• Use the website or software in any way that violates applicable law
• Attempt to gain unauthorized access to our systems, accounts or data
• Interfere with the security, performance or operation of the website or software
• Copy, scrape, reverse engineer, republish or exploit product content, outputs or infrastructure without permission, except as allowed by law
• Submit false, misleading or fraudulent information
• Use the software to harass, spam or abuse third parties, or to violate the terms of Google or other platforms
• Resell, sublicense or provide unauthorized multi-tenant access to the software unless your plan expressly allows it

We may suspend or restrict access if we believe these terms have been violated or if use threatens the security or availability of the product.

Inquiries and Product Access

Submitting a contact form or requesting information does not create a paid subscription or obligate either party to enter into a commercial agreement. Access to the software—including trials, demos or paid plans—is governed by these Terms of Service together with any plan description, order form or written agreement we provide.

If there is a conflict between these Terms of Service and a signed order form or subscription agreement, the signed agreement controls for that specific purchase.

Subscriptions, Plans and Payment

Fees, plan features and billing cycles will be stated at checkout, in your account or in a separate order form. Unless otherwise specified:

• Subscriptions renew automatically until canceled according to the plan terms
• Fees are billed in advance for each billing period
• Late or failed payments may pause or limit access until the account is brought current
• You are responsible for applicable taxes unless stated otherwise

Refund terms, if any, will be described in your plan or order. Local SEO Express is not obligated to refund fees for periods already used or work already performed, except where required by law or expressly stated in writing.

Your Data and Responsibilities

You retain ownership of the business information, client labels, notes and other content you submit to the software (“Customer Data”). You grant Local SEO Express a limited license to host, process and display Customer Data as needed to provide and improve the product.

You agree to:

• Provide accurate business and account information
• Only submit data you have the right to use
• Use scan results, reports and exports responsibly with your clients and prospects
• Comply with the terms, policies and guidelines of third-party platforms such as Google
• Not rely on the software as the sole basis for legal, financial or compliance decisions

No Guaranteed Rankings or Results

Local SEO Express does not guarantee specific search engine rankings, Map Pack positions, traffic levels, lead volumes, revenue or return on investment. Search and Maps results are controlled by third-party platforms and can change based on competition, proximity, reviews, website quality, algorithm updates and many other factors outside our control.

The software helps you measure, compare and communicate local visibility. Past performance, examples or sample reports do not guarantee future results for any business.

Third-Party Platforms and Data Sources

The software depends on third-party websites, APIs and publicly available local search data, which may include Google Maps and related sources. We do not own or control those platforms.

We are not responsible for:

• Platform outages, rate limits, policy changes or data availability
• Changes in ranking algorithms or how local results are displayed
• Inaccuracies or delays in third-party data
• Actions taken by competitors, former agencies or unauthorized account users

You are responsible for complying with each platform's terms of use and content policies.

Intellectual Property

Unless otherwise agreed in writing:

• Local SEO Express and its licensors own the software, website, branding, documentation, templates, reports layouts, methods and all related intellectual property
• You receive a limited, non-exclusive, non-transferable right to use the software during an active authorized subscription or trial
• You retain ownership of your Customer Data and your own branding
• You may use product outputs such as scans and reports for your internal business or client work, subject to these terms and your plan limits
• We may use anonymized or aggregated usage data to improve the product

Confidentiality

Each party agrees to use reasonable care to protect confidential business information received from the other party. Confidential information includes non-public business data, pricing, credentials and account contents, but does not include information that is publicly available, independently developed or lawfully obtained from another source.

Termination

You may cancel a subscription according to the cancellation method available in your account or as stated in your order form. We may suspend or terminate access for non-payment, misuse, security risk or material breach of these terms.

Upon termination:

• Your right to access the software ends at the end of the paid period or sooner if access is suspended for breach
• You remain responsible for fees owed through the termination date
• We may delete or disable Customer Data after a reasonable retention period, subject to legal requirements and our Privacy Policy

Disclaimer of Warranties

The website and software are provided on an as-is and as-available basis to the fullest extent permitted by law. Local SEO Express disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that the website or software will be uninterrupted, error-free or free of harmful components, or that scans, reports or insights will be complete, current or produce any specific business outcome.

Limitation of Liability

To the fullest extent permitted by law, Local SEO Express will not be liable for any indirect, incidental, special, consequential or punitive damages, including lost profits, lost revenue, lost data or business interruption, arising from or related to the website or software.

Our total liability for any claim arising out of or relating to the website or software will not exceed the amount you paid to Local SEO Express for the software during the three months before the event occurred, or one hundred dollars if no paid subscription was involved.

Some jurisdictions do not allow certain limitations, so some of these limits may not apply to you.

Indemnification

You agree to defend, indemnify and hold harmless Local SEO Express and its owners, employees and contractors from claims, damages, losses and expenses arising out of:

• Your breach of these terms or a subscription agreement
• Customer Data, content or materials you provide
• Your use of the website or software in violation of law or third-party rights
• Disputes related to your clients, prospects, business listings, reviews or account ownership

Disputes and Governing Law

These Terms of Service are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles. Any dispute arising from these terms, the website or the software will be brought in the state or federal courts located in Virginia, and you consent to their jurisdiction.

Before filing a formal legal action, the parties agree to attempt to resolve disputes in good faith through direct communication.

Changes to These Terms

We may update these Terms of Service from time to time. When we do, we will revise the effective date at the top of this page. Continued use of the website or software after changes are posted constitutes acceptance of the updated terms. For active paid subscriptions, material changes may also be communicated by email or in-product notice where appropriate.

General Provisions

• Entire agreement: For website and software use, these terms together with our Privacy Policy and any applicable order form form the complete agreement regarding the product.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• No waiver: Failure to enforce a provision does not waive our right to enforce it later.
• Assignment: You may not assign your rights under these terms without our consent. We may assign our rights in connection with a business transfer.
